About the role

The Head of the Corporate Governance Department will lead the development and continuous improvement of Tommy d.d.'s corporate governance framework. Reporting to senior management, you will ensure that board processes, statutory requirements, and internal policies are aligned and effectively executed.

Key responsibilities

• Establish and enhance corporate governance systems and procedures.
• Coordinate the work of the Management Board, Supervisory Board, and General Assembly, including agenda preparation, documentation, and minute keeping.
• Draft, propose, and maintain statutes, bylaws, board charters, regulations, policies, and other governance instruments.
• Manage the delegation matrix, monitor compliance with legal and regulatory standards, and oversee the implementation of board decisions.
• Administer the internal Committee for information assessment and publication, ensuring timely and accurate disclosures to HANFA, the Zagreb Stock Exchange, and the public.
• Provide legal opinions and draft legal documents within the scope of corporate governance.
• Supervise the department’s staff and external legal advisors.

Required profile

• Law degree (VSS – Faculty of Law).
• Minimum 5 years of experience in corporate governance, working closely with boards.
• High integrity, strong organizational and communication abilities.
• Analytical mindset, proactive and self‑initiated work style.
• Valid B‑category driving licence.
• Active knowledge of English.
